
On Wednesday, August 16, China General Chamber of Commerce–USA (CGCC) hosted its 2017 fourth “Lunch & Learn” event of “Cross-border Acquisition” at the CGCC New York office. Jiang Liu, Partner in Morrison & Foerster Financial Services Practice and Jeffrey Bell, also a partner at Morrison & Foerster, specializing in mergers and acquisitions, corporate finance, and security matters, joined the event as guest speakers.
Over 60 representatives from CGCC member companies attended the event.
Jeffrey Bell broke his presentation into three major sections: first talking about the current state of M&A markets, common deal structures for M&A transactions in the U.S., and common deal terms for U.S. M&A transactions. Bell explained that for inbound US M&A transactions, 2016 was a very big year as the number of deals were very high. He also explained that “The inbound Chinese activity in 2017 is holding up relatively well compared to what we saw the overall deal volumes for 2017”. Bell also noted while there have been concerns in the marketplace due to the new presidential administration, inbound M&A transactions from China are staying strong.
Jiang Liu discussed regulatory issues as they relate to investments and acquisitions in the U.S. Liu explained Section 13 of the United States Security Exchange Act and the role of the Committee on Foreign Investment in the U.S. and briefly discussed the CFIUS process which has been challenging for Chinese acquirers. Liu points out that it is very important to clearly understand the regulation regarding the investments and acquisitions before making a deal.
